Terms of Service

These Terms of Service ("Terms") govern your use of the Truce platform operated by Sprint Collective Ltd ("Truce", "we", "us"), a company registered in Ghana (CS101870526). By creating an account or using our services, you agree to be bound by these Terms.

1. The Truce Service

Truce is an escrow and payment protection platform for online commerce in Ghana. We hold funds on behalf of buyers until delivery of goods is confirmed, at which point funds are released to the seller. Truce acts solely as an escrow agent and is not a party to any transaction between buyers and sellers.

2. Eligibility

  • You must be at least 18 years old to use Truce
  • You must be resident in Ghana or transacting with a Ghanaian party
  • You must provide accurate identity information when requested
  • You must not use Truce for any unlawful purpose

3. Escrow Process

For Buyers: When you fund a deal, your payment is held in escrow by Truce. Funds are only released to the seller after you confirm receipt and satisfactory delivery of goods. If a dispute arises, Truce will mediate based on available evidence.

For Sellers: By accepting a deal, you confirm the item is as described and commit to dispatching within the agreed timeframe. Funds will be released to you upon the buyer's delivery confirmation.

Delivery: Truce facilitates delivery through partner logistics providers. Delivery fees are estimated at deal creation and confirmed upon dispatch. Risk of loss passes to the buyer upon confirmed delivery.

4. Fees

Truce charges a platform fee of 3.5% of the transaction value (minimum GHS 5), paid by the buyer at checkout. This fee covers escrow management, buyer protection, and fraud prevention. Delivery fees are charged separately and vary by location. All fees are displayed before payment is made.

5. Instagram Bot

Truce operates an Instagram bot at @paywithtruce. By sending a message or product screenshot to this account, you consent to Truce processing the content of your message to create a draft deal on your behalf. You remain responsible for reviewing all deal details before making payment. Truce is not responsible for inaccuracies in AI-extracted product information — you should verify all details before funding a deal.

6. Prohibited Uses

You must not use Truce to:

  • Transact in counterfeit, stolen, or illegal goods
  • Launder money or finance terrorism
  • Defraud buyers or sellers
  • Circumvent our escrow process to transact directly after initiating a deal
  • Create fake accounts or impersonate others
  • Reverse-engineer or scrape our platform

Violation of these prohibitions may result in immediate account suspension, forfeiture of escrowed funds pending investigation, and referral to law enforcement.

7. Disputes

If a buyer and seller cannot resolve a dispute, either party may escalate to Truce. We will review the evidence provided by both parties and make a final determination within 5 business days. Our decision on fund release is final. Truce's liability in any dispute is limited to the escrowed amount of the specific transaction in question.

8. Refunds

If a deal is cancelled before the seller dispatches goods, the full escrowed amount (excluding the Truce fee) will be refunded to the buyer's original payment method within 3-5 business days. The Truce fee is non-refundable once a deal has been funded.

9. Limitation of Liability

To the maximum extent permitted by Ghanaian law, Truce's total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount of fees paid by you to Truce in the 3 months preceding the claim. Truce is not liable for indirect, incidental, or consequential damages, including loss of profits or loss of data.

10. Intellectual Property

The Truce name, logo, brand identity (including the pink and white design system and T mark), and all platform content are the property of Sprint Collective Ltd. You may not use our branding without written permission.

11. Governing Law

These Terms are governed by the laws of the Republic of Ghana. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana. We are regulated by the Bank of Ghana under the Payment Systems and Services Act, 2019 (Act 987).

12. Changes to Terms

We may update these Terms from time to time. We will give you at least 14 days notice of material changes via email or in-app notification. Continued use of Truce after the effective date constitutes acceptance of the updated Terms.
